Terms of Business with Clients

  1. The Contract
    These Terms form the contract between the Business and the Client for the provision of Carer services and are deemed accepted by the Client upon requesting such services. The Business reserves the right to modify these terms at any time without prior notice.
  2. Charges
    The Client agrees to pay the applicable hourly rate and any additional costs that may arise. Charges are based on the total hours worked by the Carer and are invoiced in advance. Any outstanding amounts will be subject to an additional charge of 5% above the base rate per annum. Payments are due from the invoice date or within the initial days of care commencement. Bank Holidays: Rates are doubled on Bank Holidays due to increased demand and staffing requirements.
  3. Time Records
    Invoices will reflect the days and hours worked by the Carer.
  4. Liability
    The Business aims to ensure high standards of skill, integrity, and reliability from Carers and to provide them according to the Client’s request. However, the Business is not responsible for any issues, losses, expenses, damages, or delays resulting from a failure to supply a Carer, or due to any Carer’s negligence, misconduct, or lack of skill.

The Business is not liable for any claims, including but not limited to, personal injury or death resulting from its own or the Carer’s negligence. Any disputes or complaints between the Client and the Carer must be resolved between them directly. Carers supplied by the Business operate as self employed individuals, providing their own indemnity insurance and ensuring that their registrations and health checks are current.

The Business holds no liability for accidents, loss, or damages incurred during a Carer’s duties. Carers are engaged under contracts for services and are not employees of the Business. From the moment they report for duty, they are under the supervision, direction, and control of the Client.

The Client acknowledges responsibility for verifying the Carer’s documentation, including registration, occupational health details, and any other relevant checks, whether provided by the Business or not. The Client assumes full responsibility for the actions, errors, or omissions of the Carer, treating them as though they were directly employed by the Client. This includes addressing any complaints, correspondence, or costs related to the Carer’s conduct or responsibilities.

For clarity, the Business is not liable for any costs, claims, or correspondence related to the Carer’s actions before, during, or after an Assignment. The Client must ensure compliance with all relevant laws and regulations, including the Working Time Regulations and the Health and Safety at Work Act. The Client must also provide adequate Employer’s and Public Liability Insurance coverage for the Carer during all Assignments and inform the Business of any health and safety matters relevant to the Carer’s work.

The Client agrees to indemnify the Business against any costs, claims, or liabilities resulting from non compliance or breaches of these Terms, either by the Client or the Carer, at any time, including after an Assignment.


Termination
The Client is responsible for supervising the Carer to ensure the quality of service. If dissatisfied, the Client may terminate the Assignment by instructing the Carer to leave immediately or requesting a replacement from the Business.

If the Carer has been working with the Client for more than three months, the Client must provide two weeks’ notice before termination.

Clients are prohibited from directly contacting a Carer after the completion of an Assignment. If a Client engages a Carer privately, the Business reserves the right to seek compensation for loss of business equivalent to the term initially agreed upon with the Client.

Acceptance
Engaging with the Business in any capacity, at any time, constitutes acceptance of these Terms and Conditions, regardless of whether a formal agreement has been signed.
